Thats just it. this happens after i flash the kernal after doing a factory reset then wipe it from recovery. so the only things that are running are whaever loads when you boot from stock. no other settings are touched.
so the power settings are set to the default 216/1000, and no apps are loaded..
Just to clarify what I did. I rooted using the universal method. Then I did a naindroid backup, in case I jack anything up.
I d/l the kernal and put it on my SD drive.
Then in the settings->reset to factory - reboot - then I boot into recovery - then I do a wipe there as well.
Once that is complete - I then flash the Kernel.
Once it reboots - it looks basically fresh from factory w/ the exception of the kernel.
I add the wifi info - and the gmail address and everything is fine. I can surf no problems - but if I leave it idle - as soon as the screen timesout - it reboots.
It will also reboot if I put it into sleep mode manually by pressing the power button.
I am open to suggestions on what else to try.

Hmm, that is very strange
So if you connect it via adb it doesn't reboot right? Since having the debugger connected will prevent the device from going to sleep.
If possible, when you get a spontaneous reboot can you use adb shell or a terminal app and enter:
Code:
cat /proc/last_kmsg > /sdcard/last_kmsg.txt
This should dump the contents of the kernel log right up to the crash in a file called "last_kmsg.txt". Please put that file on pastebin (or PM me if you prefer) so we can see what's going on.

Is it possible to use an external USB WiFi dongle? Like say, a Belkin? Or is the USB WWAN file only support for external 3/4G modems for WiFi Xoom models?

It might work, although the number of drivers compiled in is small compared to something like the BT5 version of Tiamat. The USB WWAN add-on is only needed for USB 3G modems.

Hi! Since I installed this kernel, I can't connect my Nikon P500 camera via OTG cable (camera seems to be in PTP mode and there is no options to change to MTP), tablet won't recognize it anymore, but optical mouse and other cameras in MTP mode does.
