i went ahead and just let it update on its own. its actually installing 4.0.4 now! not sure why it would fail before, but oh well, im in business now lol

Before you're rooted.
You cant except OTA when you're rooted. Flash to stock HC and let it update..now you're 4.0.4..great
If you thinking of rooting on 4.0.4..once you flash cwm recovery and root..do your nandroid/back up.
