yes i have the 3.2 and US i have one more question, will this delete all the files and games that i have on my device?

Yes. You'll want to back up your files. You'll get all you apps back though.

We don't have a guide up yet on our forum to root the stock 3.2, should be one coming soon. But there is one on XDA.

And as jb said when you unlock your Xoom it will be wiped.
